1. TERMS OF SERVICE — DIGITAL INCOME ACADEMY LLC

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Student," "User," or "you") and Digital Income Academy LLC ("Academy," "DIA Club," "we," "us," or "our").

BY PURCHASING A PRODUCT OR ACCESSING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT PURCHASE OR ACCESS THE SERVICES.

1.1 SERVICES AND LICENSE GRANT

1.1.1 Scope. The Academy provides digital courses, educational materials, online community access, affiliate programs, and access to a platform hosted on Kajabi (the "Products").

1.1.2 Limited License. Upon purchase, the Academy grants you a personal, non-exclusive, non-transferable, and revocable license to access the Products solely for your personal educational use.

1.1.3 Restrictions. You shall not: (i) share account credentials; (ii) modify, copy, mass-download, or create derivative works; (iii) use the Products for any commercial, resale, or competitive analysis purpose; (iv) remove proprietary notices or logos; (v) use materials to train artificial intelligence models; or (vi) access via scrapers, bots, or automated means.

1.2 PAYMENTS AND FINAL SALE POLICY (NO REFUNDS)

1.2.1 Payments. All payments are processed through secure third-party gateways (Stripe, PayPal, Kajabi, PromptPay, TrueMoney). You agree to pay all fees and applicable taxes in your jurisdiction.

1.2.2 FINAL SALE NOTICE. DUE TO THE DIGITAL AND IMMEDIATELY ACCESSIBLE NATURE OF THE PRODUCTS, ALL SALES ARE FINAL. THE ACADEMY OPERATES UNDER A STRICT NO-REFUND POLICY, WITHOUT EXCEPTIONS BEYOND THOSE EXPRESSLY DESCRIBED IN THE REFUND POLICY.

1.2.3 Waiver of Cooling-Off Period. By completing your purchase, you expressly acknowledge that you receive immediate access to the intellectual property, which constitutes full delivery of services. You hereby waive any statutory right to a "cooling-off" period, rescission, or withdrawal, to the maximum extent permitted by applicable law.

1.2.4 Installment Plans. If you purchase under an installment plan (e.g., 4 payments), you legally bind yourself to complete all installments. Failure to pay any installment authorizes the Academy to suspend or terminate your access without refund of previously paid installments and initiate collection actions.

1.2.5 Chargebacks. If you initiate a payment dispute (chargeback) after accessing the content, your access will be immediately revoked. The Academy reserves the right to contest the chargeback with evidence of use, pursue collection through agencies, and/or initiate legal action.

1.3 AFFILIATE PROGRAM

1.3.1 Enrollment. Upon enrolling as an affiliate of Digital Income Academy LLC, you agree to these Terms in addition to applicable Affiliate Program Terms.

1.3.2 Commission. Affiliates may receive up to 90% of the value of each valid sale made exclusively through their unique affiliate link, subject to the affiliate's tier and eligibility at the time of sale. The specific commission structure will be communicated upon enrollment.

1.3.3 Attribution. Commissions are paid only for sales properly tracked through the unique affiliate link. Sole responsibility lies with the affiliate to use the link correctly and verify tracking. No commissions will be paid for misattributed, manipulated, fraudulent, or self-referred sales.

1.3.4 Payment Term. Valid commissions will be paid within an estimated 3 to 7 business days after the confirmation period, provided no dispute, chargeback, detected fraud, or other incident exists.

1.3.5 Tax Responsibility. Affiliates are solely responsible for reporting and paying applicable taxes in their jurisdictions. U.S.-based affiliates receiving more than $600 USD annually must provide Form W-9; international affiliates must provide Form W-8BEN when applicable.

1.3.6 Prohibited Practices. As an affiliate, you agree not to: (i) use spam, false offers, income guarantees, or unverified claims; (ii) bid on Academy trademarks on advertising platforms; (iii) impersonate Digital Income Academy LLC or its founders; (iv) create sites or accounts that confuse consumers about the Academy's identity. Violation results in immediate account cancellation and loss of pending commissions.

1.4 INTELLECTUAL PROPERTY

1.4.1 Ownership. Digital Income Academy LLC retains all rights, title, and interest in the Products, including all copyrights, trademarks, trade secrets, materials, resources, designs, graphics, videos, templates, and associated software.

1.4.2 Violation and Liquidated Damages. Any unauthorized sharing, distribution, resale, or use of Academy materials constitutes material breach of these Terms. We reserve the right to terminate your access immediately without refund, pursue liquidated damages, actual damages, attorneys' fees, and any other remedy available to the maximum extent permitted by Florida law.

1.5 DISCLAIMER OF RESULTS AND INCOME

1.5.1 "As-Is" Basis. The Products are provided "AS-IS" and "AS-AVAILABLE," without warranties of any kind, express or implied.

1.5.2 NO GUARANTEE OF RESULTS OR INCOME. THE ACADEMY MAKES NO GUARANTEE, REPRESENTATION, OR PROMISE OF SPECIFIC RESULTS, INCOME, EMPLOYMENT, FINANCIAL GAIN, OR RECOVERY OF YOUR INVESTMENT AS A RESULT OF PURCHASING OR USING THE PRODUCTS.

1.5.3 Non-Typical Results. Results shown in testimonials, case studies, promotional material, screenshots, or income figures ARE NOT TYPICAL. Most people who start digital education programs do not generate significant income, and many do not complete the program. Your success depends solely on your effort, time invested, prior skills, available investment capital, market, execution, and external factors completely outside the Academy's control.

1.5.4 Not a Business or Employment Opportunity. The Products constitute an educational opportunity, not an employment opportunity, guaranteed investment, assured income generation scheme, or franchise offering.

1.5.5 Not Professional Advice. Content is exclusively educational and does not constitute legal, financial, tax, medical, psychological, or professional advice of any kind. Consult a licensed professional in your jurisdiction before making decisions based on the content.

1.6 TESTIMONIALS AND CONTRIBUTORS DISCLAIMER

1.6.1 Testimonials shown on websites, promotional materials, and communications represent individual and subjective experiences of real people who have participated in the Products. They are not typical results and constitute no guarantee that you will obtain similar results.

1.6.2 Some contributors presented in promotional materials may have a material relationship with Digital Income Academy LLC, including (without limitation) participation in the affiliate program, compensation in exchange for content, or free or discounted access to Products. This relationship is disclosed in accordance with Federal Trade Commission (FTC) guidelines.

1.7 LIMITATION OF LIABILITY AND INDEMNIFICATION

1.7.1 LIMITATION. IN NO EVENT SHALL DIGITAL INCOME ACADEMY LLC, ITS DIRECTORS, FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

1.7.2 Indemnification. You agree to indemnify, defend, and hold harmless Digital Income Academy LLC, its representatives, directors, employees, and affiliates from any claim, damage, loss, liability, cost, or expense (including reasonable attorneys' fees) arising from: (i) your violation of these Terms; (ii) your use of the Products; (iii) your infringement of third-party rights; or (iv) your conduct as an affiliate.

1.8 FLORIDA-SPECIFIC PROVISIONS (FDUTPA)

1.8.1 FDUTPA Acknowledgment and Waiver (Florida Residents). To the maximum extent permitted by Florida law, you acknowledge that you have been advised of your rights under the Florida Deceptive and Unfair Trade Practices Act (Fla. Stat. § 501.201 et seq.) ("FDUTPA"). IN CONSIDERATION OF THE PROMOTIONAL PRICING AND IMMEDIATE ACCESS PROVIDED, YOU KNOWINGLY AND VOLUNTARILY WAIVE YOUR RIGHTS UNDER FDUTPA TO THE MAXIMUM EXTENT PERMITTED BY LAW.

This waiver applies only to claims that can be lawfully waived and does not apply to claims involving intentional fraud, gross negligence, or public policy violations. If a court determines this waiver is unenforceable, the Limitation of Liability in Section 1.7.1 shall apply.

1.9 JURY WAIVER

YOU AND THE ACADEMY IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING RELATED TO THESE TERMS.

1.10 BINDING ARBITRATION

1.10.1 Arbitration Agreement. Any dispute, claim, or controversy arising out of or relating to these Terms, including the determination of the scope or applicability of this arbitration agreement, shall be resolved by binding arbitration before a single arbitrator.

1.10.2 Rules. Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

1.10.3 Location. Arbitration shall take place in Sarasota County, Florida, or via remote video conference at the option of the claimant.

1.10.4 Costs. Each party shall bear its own costs. The Academy will pay all AAA filing fees for claims under $10,000 USD.

1.10.5 Class Action Waiver. You agree that disputes will be arbitrated only on an individual basis, and not as a class, consolidated, or representative action.

1.10.6 Small Claims Exception. Either party may bring an individual action in small claims court if the claim qualifies.

1.10.7 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of your first purchase, stating: "I opt out of the arbitration agreement."

1.11 PRIVACY AND ELECTRONIC COMMUNICATIONS

1.11.1 Privacy Policy. Processing of your personal data is governed by our separate Privacy Policy (Section 4 of this document), which forms an integral part of these Terms.

1.11.2 Electronic Communications. Upon making a purchase, you consent to receive electronic communications from the Academy (email, platform notifications, and optional SMS messages if you opt in). You may unsubscribe at any time via the unsubscribe link in any email, without affecting your access to the purchased product.

1.11.3 Thailand PDPA. For Thailand residents, data processing is conducted in accordance with the Personal Data Protection Act B.E. 2562 (2019). To exercise access, correction, deletion, or portability rights, contact [email protected].

1.11.4 GDPR / CCPA / LGPD. For residents of the European Union, California, Brazil, or other jurisdictions with specific data protection laws, refer to the corresponding rights in our Privacy Policy.

1.12 MINIMUM AGE

You must be at least 18 years old to purchase and access the Products. If you are between 13 and 17 years old, you may access only with express written consent from your parent or legal guardian, who must accept these Terms on your behalf.

1.13 USER CONDUCT

When using the Products, you agree not to: (i) engage in illegal or fraudulent activities; (ii) harass, threaten, or discriminate against other students or the Academy team; (iii) share your access with third parties; (iv) reverse engineer, decompile, or attempt to access source code; (v) upload viruses, malware, or malicious code; or (vi) violate third-party rights.

Violation of any provision in this section authorizes the Academy to terminate your access immediately without refund.

1.14 TERMINATION

The Academy reserves the right, at its sole discretion, to terminate your access to the Products for any breach of these Terms. Upon termination, your license to use the Products is revoked, and no refunds will be issued.

1.15 GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute not subject to arbitration shall be filed exclusively in the state or federal courts located in Sarasota County, Florida.

1.16 MODIFICATION OF TERMS

Digital Income Academy LLC reserves the right to modify these Terms at any time, posting the updated version on the Site with a new "Last Updated" date. Continued use of the Site or Products after the modification date constitutes acceptance of the updated Terms.

1.17 FORCE MAJEURE

The Academy shall not be liable for failures or delays caused by events beyond its reasonable control, including (without limitation): third-party platform failures (Kajabi, Stripe, PayPal), internet outages, pandemics, natural disasters, government acts, war, or cyberattacks.

1.18 MISCELLANEOUS

1.18.1 Entire Agreement. These Terms, along with the Privacy Policy, Refund Policy, and Income Disclaimer, constitute the entire agreement between the parties.

1.18.2 Severability. If any provision is found invalid or unenforceable, the rest shall remain in full force.

1.18.3 No Assignment. You may not assign these Terms without our prior written consent. The Academy may freely assign them.

1.18.4 Survival. Sections 1.4 (IP), 1.5 (Disclaimers), 1.7 (Limitation), 1.8 (FDUTPA), 1.9 (Jury), 1.10 (Arbitration), and 1.15 (Governing Law) survive termination of these Terms.

1.18.5 No Waiver. The Academy's failure to enforce any provision shall not constitute a waiver of that or any other provision.

2. REFUND & CANCELLATION POLICY

2.1 DIGITAL DELIVERY AND FINAL SALE NOTICE

2.1.1 All sales are final. All Products are digital and delivered immediately upon purchase. By their nature, Digital Income Academy LLC maintains a strict NO-REFUND policy.

2.1.2 Immediate access. Upon completing your purchase, you request and acknowledge immediate access to the Product, including all modules, downloadable materials, community, templates, resources, and affiliate program rights.

2.1.3 Waiver of cooling-off period. You expressly waive any statutory or common-law right to a "cooling-off" period, withdrawal, rescission, or refund once access is granted, to the maximum extent permitted by applicable law in your jurisdiction.

2.1.4 Lifetime access. Once purchase is complete, you receive lifetime access to the product content (subject to continued availability of the Kajabi platform or any reasonably equivalent successor platform).

2.2 NO-REFUND CONDITIONS

Refunds will not be granted under any circumstance for:

  • Change of mind or change in your personal financial situation
  • Lack of time to consume the course content
  • Failure to attend live sessions, masterclasses, or community events
  • Technical issues on the user's side (internet, incompatible device, outdated browser, geographic restrictions, VPN, personal or corporate firewalls)
  • Lack of success or absence of expected results
  • Dissatisfaction with teaching style, content format, language used in specific portions, or implementation speed
  • Failure to understand product descriptions published on the website before purchase
  • Decision not to complete or to abandon the program
  • Conflict with expectations not communicated in writing before purchase

2.3 INSTALLMENT PAYMENT PLANS

2.3.1 Legal payment obligation. Purchases made through installment payment plans (e.g., 4 payments of āļŋ500, or USD equivalents) are legally binding. You commit to completing all agreed installments. This does not constitute a subscription cancellable at any time.

2.3.2 Default on installments. Failure to pay any installment by the due date results in immediate revocation of accessto the Product. Revocation of access does not release you from the legal obligation to pay the remaining balance.

2.3.3 Acceleration clause. If any installment is more than seven (7) calendar days overdue, Digital Income Academy LLC may demand immediate payment of the entire outstanding balance, without further prior notice.

2.3.4 Collection actions. In case of payment default, the Academy may: (i) initiate collection actions through professional agencies; (ii) report the debt to applicable credit bureaus; (iii) initiate legal action to recover the outstanding amount plus interest, attorneys' fees, and associated costs.

2.4 DISPUTES AND CHARGEBACKS

2.4.1 Mandatory formal notice. Before initiating any chargeback with your bank or card issuer, you must contact [email protected] and allow a reasonable period (minimum seven (7) business days) to resolve the situation.

2.4.2 Evidence of acceptance. Your clickwrap acceptance, terms checkbox at purchase, or digital signature constitutes binding legal evidence of your acceptance of the non-refundable nature of the transaction.

2.4.3 Contesting fraudulent chargebacks. Digital Income Academy LLC will contest all chargebacks it deems fraudulent or made in bad faith, presenting: (i) evidence of acceptance of terms; (ii) access logs to content; (iii) product consumption metrics; (iv) communications with the user.

2.4.4 Blacklist. Fraudulent chargebacks, unpaid installments, or misuse of Products may result in:

  • Permanent ban from Digital Income Academy LLC and its associated brands
  • Report to anti-fraud networks (including Stripe Radar and equivalents)
  • Legal actions for recovery of amount plus damages

2.5 FLORIDA LAW COMPLIANCE (FDUTPA)

2.5.1 Fair Notice. This Policy provides "Fair Notice" under the Florida Deceptive and Unfair Trade Practices Act (FDUTPA) and U.S. federal law. All refund limitations are clear, visible, and provided to the user before purchase via: (i) acceptance checkbox at checkout; (ii) visible links in site footer; (iii) email confirmation after purchase.

2.5.2 Limited liability. Claims for content errors (typographical, broken links, temporarily unavailable modules, etc.) are limited to correction of the error. No monetary refunds will be granted for these circumstances.

2.6 LIMITED EXCEPTIONS TO NO-REFUND POLICY

Refunds may be considered only under the following specific circumstances:

2.6.1 Qualifying exceptions

(a) Academy-side technical failure. Complete platform failure preventing access to the Product for more than seven (7) consecutive days, provided that: (i) it is reported by the user within that period to [email protected]; (ii) it has not been resolved within seven (7) additional days after report; (iii) it is not attributable to the third-party platform (Kajabi) except in extreme cases. → Result: prorated refund for the non-access period.

(b) Accidental duplicate purchase. Accidental purchase of the same Product within 24 hours, without access to the second duplicate Product. Requires documented proof (screenshots of transaction receipts). → Result: refund of the duplicate amount.

(c) Unauthorized payment. Documented evidence of fraud (stolen card, identity theft), accompanied by formal police report and card issuer report. → Result: refund if the Academy confirms fraud after internal investigation.

2.6.2 Expressly NON-refundable situations

  • Change of mind, opinion, or expectation
  • Dissatisfaction with content, format, or style
  • Failure to achieve expected results
  • Technical issues on the user's side
  • Inability to attend sessions for personal or professional reasons
  • Changes in the user's personal economic situation
  • Purchases made under influence of emotions, social pressure, or FOMO

2.6.3 Procedure for requesting refund under qualifying exception

  1. Submit request to [email protected] within seven (7) days after the qualifying event
  2. Email subject: "Refund Request - Qualifying Exception"
  3. Provide: (i) full name; (ii) purchase email; (iii) transaction date and amount; (iv) detailed description of event; (v) supporting documentation
  4. Investigation period: Allow up to fifteen (15) business days for evaluation
  5. Final decision: Digital Income Academy LLC's decision is final and binding

2.7 GOVERNING LAW AND JURISDICTION

This Policy is governed by the laws of the State of Florida, United States. Any dispute will be resolved exclusively according to the arbitration clause established in the Terms of Service, or alternatively, in the state or federal courts located in Sarasota County, Florida.

3.1 EDUCATIONAL PURPOSES ONLY

All materials provided by Digital Income Academy LLC — including without limitation courses, masterclasses, communities, downloadable resources, templates, group mentorships, live events, marketing materials, and communications — are exclusively for educational and informational purposes.

Nothing in the Services constitutes:

  • Professional financial advice
  • Professional legal advice
  • Tax or fiscal advice
  • Professional career advice
  • Psychological or wellness advice
  • Specific investment recommendation
  • Guarantee of employment or income

Before making any financial, tax, legal, or professional decision based on the Services content, you must consult with a licensed and qualified professional in your jurisdiction.

3.2 NO GUARANTEES OF RESULTS OR INCOME

Digital Income Academy LLC makes no guarantee, representation, or declaration, express or implied, regarding:

  • A specific result of any kind
  • A particular income level
  • Employment, promotion, or career change
  • Financial gain of any nature
  • Recovery of the investment made
  • Success in social media, sales, or entrepreneurship
  • Any other material or professional achievement

3.2.1 Individual effort

Your results depend exclusively on:

  • Your prior skills, experience, and knowledge
  • Your dedication, time invested, and consistency
  • Your economic resources, social capital, and network
  • Your independent decisions, actions, and execution
  • Your ability to adapt to change
  • Personal, family, and health factors
  • Factors completely outside the Academy's control

3.2.2 Market variables

Digital education, social media marketing, UGC, TikTok Shop, Etsy, affiliate programs, and e-commerce markets are subject to:

  • Intense and changing competition
  • Regulatory changes in each country (FTC in US, MOCAA in Thailand, AEPD in Spain, PROFECO in Mexico, etc.)
  • Unpredictable algorithm changes on platforms (Instagram, TikTok, YouTube, Facebook)
  • Platform monetization policy changes
  • Market saturation
  • Global economic fluctuations
  • Other external factors completely outside the Academy's control

3.2.3 No promises

Any example of results, earnings, income, or success cases shown in our promotional materials is illustrative only and does not represent typical or average results that a typical student can expect.

3.3 TESTIMONIALS, CASE STUDIES, AND EXAMPLES

3.3.1 Non-typical results

Testimonials, screenshots, case studies, and examples shown in Academy materials reflect individual and subjective experiences only. They do not represent average or typical results of students in general.

Most people who purchase digital education programs of this type:

  • Do not complete the program in full
  • Do not achieve significant financial results
  • Do not replicate the results shown in featured testimonials
  • May not recover their initial investment

3.3.2 No replication guarantee

You should not expect to achieve similar results to those shown in testimonials. Results will vary dramatically based on your effort, prior experience, market, resources, time invested, and many other individual factors.

3.3.3 Material relationship disclosure with affiliates

6. POLÍTICA DE REEMBOLSO Y CANCELACIÓN

6.1 ENTREGA DIGITAL Y AVISO DE VENTA FINAL

6.1.1 Todas las ventas son finales. Todos los Productos son digitales y de entrega inmediata. Política estricta de NO REEMBOLSO.

6.3 PLANES DE PAGO EN CUOTAS

6.3.1 ObligaciÃģn legal de pago. Las compras en cuotas son legalmente vinculantes. Te obligas a completar todas las cuotas. No es una suscripciÃģn cancelable.

6.3.2 Incumplimiento. La falta de pago resulta en revocaciÃģn inmediata del acceso, sin eximirte de la obligaciÃģn legal de pagar el saldo restante.

6.4 DISPUTAS Y CHARGEBACKS

6.4.2 Evidencia de aceptaciÃģn. Tu aceptaciÃģn clickwrap constituye evidencia legal vinculante.
